Terms of Use

1. Introduction

Prime Agent is a trading name of SHORTEST PATH PTE. LTD. (UEN 202519554M), a company incorporated in Singapore. References to “we,” “us,” or “Prime Agent” here refers to SHORTEST PATH PTE. LTD. unless stated otherwise.

2. Definitions

• Platform: the proprietary software, applications, features, user interface, tools, documentation, databases, support services, infrastructure, and related materials provided by Prime Agent. This includes all systems and services required to deliver and maintain the Service.
• Paid Features: those features, tools, or services on the Platform that require payment before access.
• User Content: any data, information, or content you submit to the Platform.

3. Acceptance of Terms

By accessing or using Prime Agent, you agree to be bound by these Terms.

4. Subscriptions & Paid Features

Certain features or tools (“Paid Features”) require payment. You must pay applicable fees to access them. If fees remain unpaid, access to Paid Features may be restricted.

5. Account Use

Your account is for your personal use only. You must not share your login credentials or allow unauthorised access. Unauthorised sharing may result in suspension.

6. User Content

You retain ownership of any User Content you submit. You grant us a limited licence to use that content solely to provide the Service to you.

7. Third-Party Content & Integrations

The Platform may include links to external websites or integrate third-party tools. We do not control, endorse, or assume liability for their content, availability, or functionality. Use of any third-party services is at your own risk.

8. Disclaimers & Limitation of Liability

The Platform is provided “as is” without warranties of uptime, error-free performance, or security. To the maximum extent permitted by law, our total liability is capped at the fees you have paid in the preceding 12 months. We are not liable for loss of profits, goodwill, or indirect damages, except in cases of fraud, wilful misconduct, or personal injury.

9. Suspension & Termination

We may suspend or terminate your access if you:

• materially breach these Terms and fail to remedy the breach within 30 days of notice;
• fail to pay fees within 30 days of their due date;
• pose a security or legal compliance risk; or
• cease operations or become insolvent.

Upon termination, accrued rights remain. We will not provide refunds; however, you may request your data (at cost) within 30 days of termination.

10. Dispute Resolution

Any dispute under these Terms shall first be attempted resolved through negotiation. If unresolved within 30 days, the parties agree to attempt mediation (e.g., via SIMC or SMC). If still unresolved, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC), conducted in English, with the seat of arbitration in Singapore. These Terms are governed by the laws of Singapore.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Singapore. Courts of Singapore shall have exclusive jurisdiction over matters not resolved through the agreed dispute resolution process.

12. Changes to Terms

We may amend these Terms from time to time. Updated Terms will be effective upon posting. Continued use of the Platform constitutes acceptance of the revised Terms.

13. Severability & Entire Agreement

If any provision is held invalid, the remainder of the Terms remains in force. These Terms constitute the entire agreement between you and Prime Agent regarding use of the Platform.
